يتميز النظام الاجتماعي في أرقى صوره من خلال التعاون بين أفراد المجتمع وهذا التعاون له أدواته القانونية ولعل أهمها العقد القائم على توافق إرادات القائمين عليه. وإذا كان العقد يستمد قوته الإلزامية من أرادة أطرافه إعمالا لقاعدة العقد شريعة المتعاقدين. غير أن التطبيق العملي للعقد أثبت أنه في كثير من الأحيان يخرج أطرافه عن تبصر أو عن جهل عن الإطار القانوني له ولذلك أراد المشرع التدخل من خلال نصوص قانونية أعطى من خلالها اللقاضي الحق في إرجاع العقد إلى إطاره القانوني الصحيح وبالخصوص من خلال سلطته في التكييف، ومن هنا تكمن أهمية سلطة القاضي في تكييف العقد ولا سيما في التصرفات القانونية ذات الطبيعة المالية. إذ تعتبر سلطة التكييف التي يتمتع بها من ضمن وظيفته الأساسية في تطبيق القانون إذ في ضوء تحديد الوصف الحقيقي للعقد يمكن اعمال القاعدة القانونية المناسبة وبالتالي ترتيب الآثار القانونية.
