تترتب المسؤولية العقدية اذا توافرت شروطها, والمتمثلة بالخطأ والضرر وعلاقة السببية لكن يستطيع المتعاقد في العقد ان يعفي نفسه من المسؤولية بموجب شرط الاعفاء من المسؤولية العقدية ,لكن هذا الاعفاء لايجوز ان يطيل الالتزام الاصلي للعقد ,ولايجوزأن يكون الضرر الواقع ناتج عن غش أو خطأ جسيم ,ولقدأقر المشرع هذا الشرط ,ونص على تطبيقات عدة له ,وخشية من اساءة استخدام هذا الشرط ,أجاز المشرع للقاضي التدخل لتعديل هذا الشرط أو حتى الغاءه.
